Terms of Service

These Terms of Use (the "Terms") govern access to and use of the Zyntent.ai website and services, including https://zyntent.com/ (the "Site", "Zyntent", "we", "us", "our") and any APIs, SDKs, integrations, dashboards, or related technologies (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

1.1. "You" / "User" means any individual or entity accessing or using the Services.

1.2. "Integrator" means a User who connects Zyntent to any interface, application, website, product, agent, system, or workflow (an "Interface") to send requests to Zyntent and/or receive outputs from Zyntent.

1.3. "Offer Provider" means a User who supplies offer data, feeds, catalogs, coupons, promotions, programs, or similar commercial content ("Offers") to be used by Zyntent.

1.4. "Zero-click" means a mode where results, recommendations, or commercial content may be shown within an Interface without a traditional redirect or click, and user actions may not be observable via click tracking.

1.5. "Request Data" means input data sent to Zyntent via the Services (e.g., query text, contextual signals, non-identifying metadata).

1.6. "Output" means Zyntent's response (e.g., intent classification, recommended items, offer match, structured data, ranking, or other results).

2. General Provisions

2.1. These Terms form a binding agreement between you and Zyntent and govern all use of the Services.

2.2. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.

2.3. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

2.4. Zyntent may update the Services, change features, or discontinue any part of the Services at any time.

2.5. Zyntent may refuse access to the Services at its discretion, including to prevent fraud, abuse, security risk, or legal exposure.

2.6. These Terms prevail over any terms you provide, unless expressly agreed in writing by Zyntent (e.g., a separate master agreement).

3. Accounts (If Applicable)

3.1. Some parts of the Services may require an account. You must provide accurate and complete information and keep it updated.

3.2. You are responsible for safeguarding credentials and all activity under your account.

3.3. Zyntent may suspend or terminate accounts associated with suspected abuse, fraud, policy violations, or legal risk.

4. License and Permitted Use

4.1. Subject to these Terms, Zyntent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful business purposes.

4.2. You may not (and may not allow any third party to):

  • reverse engineer, decompile, or attempt to extract source code (except to the extent permitted by law);
  • bypass rate limits, access controls, or security mechanisms;
  • interfere with the integrity or performance of the Services;
  • use the Services to build or train a competing product using Zyntent Outputs as a primary dataset (except where explicitly permitted in writing);
  • scrape or harvest the Services or dashboards without authorization.

5. Zero-Click and Intent-Layer Specific Terms

5.1. No guaranteed clicks or redirects. You acknowledge that in zero-click scenarios there may be no click, redirect, or measurable outbound event. Zyntent does not guarantee user actions, conversions, purchases, or any outcome.

5.2. No user identification requirement. The Services are designed to operate at the request/intent level and may not require persistent identifiers. You must not attempt to use Zyntent to identify end users or to perform cross-service tracking.

5.3. Attribution and measurement limitations. Any reporting, counters, analytics, or performance metrics provided by Zyntent may be probabilistic, aggregated, delayed, model-based, or otherwise limited due to the nature of zero-click delivery.

5.4. Output placement is your responsibility. If you display Zyntent Outputs to end users, you are responsible for how and where they are shown, including compliance, labeling, user experience, and legal disclosures.

5.5. No endorsement. Offers or recommendations surfaced via Zyntent do not constitute an endorsement by Zyntent, and you are responsible for your own evaluation of suitability.

6. Compliance Obligations (End Users, Notices, Consent)

6.1. You are solely responsible for ensuring that your Interface complies with applicable laws and regulations (including consumer protection, advertising laws, platform policies, and data protection laws).

6.2. If you send Request Data that may be considered personal data under applicable law, you represent and warrant that you have a valid legal basis to process and share that data with Zyntent.

6.3. Where required, you must provide end-user disclosures (e.g., that an Interface uses intent analysis and may show commercial content) and obtain any necessary consents.

6.4. You must not send sensitive personal data (e.g., health data, precise geolocation, government IDs, payment card data) unless explicitly agreed in writing and supported by appropriate safeguards.

7. Prohibited Activities

You must not use the Services for:

7.1. Fraud, deception, or abuse (including simulated traffic, manipulated requests, forced interactions, malware, botnets, or misrepresentation).

7.2. Any unlawful, harmful, defamatory, discriminatory, or infringing content.

7.3. Cookie stuffing, cookie dropping, fingerprinting for cross-site behavioral targeting, or any form of stealth tracking of individuals.

7.4. Misuse of trademarks, brand assets, or intellectual property of Zyntent or third parties without authorization.

7.5. Generating requests intended to probe, exploit, or jailbreak systems, or otherwise compromise security.

Zyntent may suspend access and/or withhold payments (if applicable) in case of suspected violations.

8. Offer Providers (If You Supply Offers)

8.1. If you provide Offers, you represent and warrant that:

  • you have all necessary rights to share the Offer data;
  • the Offer information is accurate, up-to-date, and not misleading;
  • Offers comply with applicable law and do not violate third-party rights.

8.2. Zyntent may modify, reformat, rank, filter, or refuse Offers at its discretion, including for quality, compliance, or security reasons.

8.3. Zyntent is not obligated to distribute, display, or prioritize any Offer.

9. Fees, Billing, and Payments (If Applicable)

9.1. Some Services may be paid. Fees, usage limits, pricing, and billing terms (including any minimums) will be specified in the dashboard, an order form, or a separate agreement.

9.2. If the Services include revenue share or performance-based compensation:

  • Zyntent may apply validation, anti-fraud, and quality controls;
  • Zyntent may adjust, reverse, or withhold amounts in case of suspected invalid activity, chargebacks, cancellations, or non-payment by third parties;
  • payment timelines and thresholds may apply as specified in the applicable commercial terms.

9.3. Each party is responsible for its own taxes. Zyntent may deduct withholding taxes where required by law.

9.4. If Zyntent pays you in error, you must promptly refund the overpayment.

10. Intellectual Property

10.1. Zyntent and its Services, including software, APIs, models, rankings, and dashboards, are protected by intellectual property laws. Zyntent retains all rights not expressly granted to you.

10.2. You retain rights in your Request Data. You grant Zyntent a license to process Request Data solely to provide and improve the Services, including security, quality, debugging, and aggregated analytics, consistent with the Privacy Policy.

10.3. Outputs. Unless otherwise agreed, you may use Outputs for your internal business purposes and to display them in your Interface. You may not resell Outputs as a standalone product, or use them to create a competing dataset/service, unless explicitly permitted.

11. Confidentiality (If Applicable)

11.1. If you and Zyntent exchange non-public business, technical, or commercial information marked or reasonably understood as confidential ("Confidential Information"), both parties must protect it and use it only to perform under these Terms.

11.2. Confidentiality does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.

12. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNTENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Zyntent does not warrant that the Services will be uninterrupted, error-free, or that Outputs will be accurate or complete.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

13.1. ZYNTENT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

13.2. ZYNTENT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ZYNTENT FOR THE SERVICES IN THE 6 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR 100 USD IF NO FEES WERE PAID.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zyntent and its affiliates, directors, officers, employees, and contractors from any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • your use of the Services in violation of these Terms,
  • your Interface content, disclosures, or compliance failures,
  • your Offers (if you supply them),
  • your infringement of third-party rights.

15. Suspension and Termination

15.1. You may stop using the Services at any time.

15.2. Zyntent may suspend or terminate access immediately if it reasonably believes you violated these Terms, created legal/security risk, or engaged in fraud/abuse.

15.3. Upon termination, your right to use the Services ends. Certain provisions survive termination, including IP, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.

16. Changes to These Terms

16.1. Zyntent may update these Terms from time to time. Updated Terms will be posted on the Site with a revised "Last updated" date. You shall be solely liable for regular familiarization with these Terms.

16.2. Continued use of the Services after the effective date of updated Terms constitutes acceptance.

17. Governing Law and Dispute Resolution

These Terms are governed by the English law without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms shall be settled by arbitration in accordance with the provisions set forth under the DIAC Arbitration Rules ("the Rules") by one or more arbitrators appointed in compliance with the Rules.
